Overview
Danielle Fadel represented a designer and manufacturer of blow molded plastic containers in the sale of its equity to a private equity firm. This transaction culminated a several years-long effort to position the client for sale and to find a buyer that would preserve the company culture and meet the sellers’ expectations regarding market pricing and valuation. She worked with an investment banking firm to address a variety of sticky issues, including creating a tax-efficient transaction structure for the sellers, as well as environmental, customer contracts, earn-out, equity rollover and other issues, in order to get it to closing.
