Overview
For more than 15 years Steve Sims has served as the chief legal advisor to an integrated steel processor and framing products manufacturer. He has represented this client in capital-raising and M&A transactions, including a complete reorganization/recapitalization of their business. In 2019, Steve represented the majority shareholders of this client in a change-in-control transaction, including a tax-free contribution of assets in exchange for rollover equity and sale of personal goodwill, valued at approximately $19 million. He assists this business with company organization and maintenance (including owner and board actions); foreign qualifications and assumed name filings; and documentation of lender and investor consents and amendments. Steve also advises this client with respect to real estate leases, commercial agreements, forms and policies, commercial disputes, employment matters, and intellectual property.
